JOB DETAIL

Responsibilities:

  • Organize and prepare agendas for Board meetings, committee and general meetings.
  • Responsible for filing statutory forms, preparing minutes, Annual report, Directors report, CSR report, returns and forms required under law.
  • Maintaining statutory books, including registers of members, transfers, directors and secretaries;
  • Assist Company Secretary in advising Board on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate and other Business Laws and regulations and guidelines
  • Monitoring changes in relevant legislation and the regulatory environment (Company Law, FEMA) and taking appropriate action;
  • Liaising with external partners, regulators and advisers, such as lawyers, consultants and auditors;
  • RBI and FEMA-related compliances
  • Merger, De-merger, Strike-off of Companies, Buy-back & restructuring
  • Manage insurance matters of property, equipment etc.
  • Draft/review the legal documents such as agreements (with clients and vendors), notices (from/to clients, vendors or employees), replies, MOUs, POA etc.
  • Assist business functions on all legal matters in day to day business
  • Ensuring compliances and supporting internal auditors/teams in successfully carrying out audits

Must Have:

  • Qualified Company Secretary from ICSI with 1-2 years of work experience
  • Have experience for contract management
  • Should be able to communicate and present well to senior stakeholders
  • Attention to detail and a well-organized approach to work;
  • The ability to work with numerical information, plus analytical and problem-solving skills;
  • Integrity and discretion when handling confidential information;
  • Interest and understanding of business practices and corporate governance.
  • Should have ownership for the tasks and the attitude to drive work items to closure with success
